1. Agreement to Terms

These Terms of Service ("Terms") govern your use of tetrus.com and the services provided by TETRUS AI ("TETRUS," "we," "us," or "our"), a company incorporated in the State of Delaware. By accessing our website or using our services, you agree to be bound by these Terms.

2. Description of Services

TETRUS provides a B2B outbound lead qualification platform. Our services include:

• Lead data processing, cleaning, and verification
• Outbound email campaign management
• Bot and engagement signal detection
• Pipeline scoring and Hot Opportunity delivery
• CRM integration and reporting

Specific service terms, pricing, and deliverables are defined in your signed service agreement.

3. Eligibility

You must be at least 18 years of age and have legal authority to enter into contracts on behalf of yourself or your organization. By using our services, you represent and warrant that you meet these requirements.

4. Acceptable Use

You agree to use TETRUS services only for lawful business purposes. You may not:

• Use our services to send spam or communications that violate CAN-SPAM, GDPR, CASL, or any applicable law
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or copy any part of our platform
• Resell or sublicense our services without written authorization
• Use our services to harm, harass, or discriminate against any person or group

We reserve the right to suspend or terminate access for any violation of these Terms.

5. Client Data and Responsibilities

As a TETRUS client, you are responsible for ensuring that any contact data you provide or authorize us to process is obtained lawfully. You represent and warrant that:

• You have the legal right to use the contact data provided
• The data will be used only for legitimate B2B outreach purposes
• You will comply with all applicable privacy and anti-spam laws
• You will maintain and honor opt-out requests from contacts

TETRUS processes contact data as a service provider on your behalf. You retain responsibility for the lawfulness of the underlying data.

6. Intellectual Property

All content, technology, software, and materials on tetrus.com and within the TETRUS platform are owned by or licensed to TETRUS AI. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

Client data and client-provided materials remain the property of the client. TETRUS claims no ownership over data you provide to us.

7. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the services. This obligation survives termination of the service relationship. TETRUS will not disclose client data, campaign details, or business information to third parties except as required to deliver the service or as required by law.

8. Payment Terms

Payment terms, amounts, and schedules are defined in your service agreement. All fees are due as specified. TETRUS reserves the right to suspend services for non-payment after reasonable notice. All fees are non-refundable unless otherwise specified in your service agreement.

9. Disclaimers and Limitation of Liability

TETRUS provides its services on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy of lead data, email deliverability rates, or sales outcomes.

To the fullest extent permitted by law, TETRUS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption. Our total liability to you for any claim shall not exceed the fees paid by you to TETRUS in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TETRUS AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable law.

11. Term and Termination

These Terms remain in effect for as long as you use our services. Either party may terminate the service relationship as specified in the service agreement. Upon termination, your right to access the platform ceases immediately. We will return or delete your data as specified in the service agreement.

12. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised effective date and notify active clients by email. Continued use of our services after changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved first through good-faith negotiation, and if unresolved, through binding arbitration in the State of Delaware under the rules of the American Arbitration Association. Class action claims are waived.

14. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and TETRUS AI regarding your use of our services. They supersede all prior agreements and understandings.
